    Early to Mid-Stage ("EMS") Business Initiative

    Cogent Law Group has a team of entrepreneurial attorneys with substantial experience advising startups on the many critical legal issues developing companies face - from drafting operating and shareholder agreements and protecting intellectual property to raising capital. They have raised capital while also making tough choices about how to best allocate available funds to grow their business.

     

    Whether serving as outside legal counsel or as CEOs, Cogent’s attorneys understand the importance of addressing key legal issues early on while keeping overhead low. To tackle this challenge, Cogent has developed its Early-to-Mid-Stage Initiative (“EMS Initiative”).

    Overview of the EMS Initiative

    Why the EMS Initiative is valuable: Services delivered by our practice group of attorneys who are also experienced startup CEOs. These legal and business specialists focus on company formation, intellectual property, venture funding, and other key early-stage issues, providing high quality legal advice to companies with limited resources.

    Process

    The process starts with an online submission: (please scroll to the bottom of the page for the application form). The submission is reviewed carefully, and an experienced attorney then provides detailed feedback to the applicant in an interview. There is a $100 application fee (waived for applicable partner referrals).

    What is Offered:

    Qualified companies may be offered either of two service packages, each providing immediate savings: A) Deferred Fee or B) Capped Fee

    • Both packages deliver legal services, strategic advice, and introductions to Cogent’s business and investing contacts for early-to-mid-stage companies.

    A) Deferred Fee Package

    • Who: Companies that have achieved significant progress in product/service development and funding will qualify for this package.
    • What: This package provides a full range of legal services, advice, and connections to take the company to further stages of success. 
    • Cost: Legal services offered at Cogent’s standard rates capped at $400 per hour. All fees deferred until first round funding is secured. A small equity interest or option may be taken (waived for clients of incubators/accelerators that are Cogent's partners). 

    B) Capped Fee Package

      • WhoCompanies at an earlier stage of development but with significant energy and potential will qualify for this package. 
      • WhatThis package provides a menu of fixed-price services covering key early-stage legal needs. 
      • CostPay-as-you-go program based on the Service Menu, with ongoing support, strategic advice, and introductions.
      • Service Menu for companies accepted into the Capped Fee Package: (Full-range services beyond the menu are provided at a discounted rate of $300 per hour or less.)
        • Basic Company Formation: No Charge beyond the state filing fee for basic corporate or LLC formation (i.e. certificate of formation/incorporation), guidance for selection of tax status and obtaining tax ID.
        • Copyright Protection: $300 flat fee which includes evaluation, recommendations, and if applicable instructions for self-registration.
        • Drafting, Negotiating, and Closing Business Agreements: $300 per hour with fixed pricing available on a case-by-case basis.

          • Joint Marketing/Joint Venture Agreements
          • Shareholder Agreements and Complex Operating Agreements
        • Non-Disclosure Agreements: No Charge for standard forms and general guidance.
        • Provisional Patent Application: $1000 to $2000 depending on complexity and client’s contribution.
        • Non-Complex Operating Agreements: $1500 for non-complex operating agreements (includes two rounds of changes from client).
        • Trademark Registration Filing: $500 plus federal filing fee.
