    Tax Attorney, Mergers and Acquisitions​

    James Markwood is an experienced tax attorney who has over 30 years of experience working at an AMLAW 100 law firm, a Big Four accounting firm, and a Fortune 500 corporate tax department. He is also a former Congressional Legislative Assistant experienced in drafting and advocating for tax legislation before the U.S. Congress.

    Jim has a wealth of experience working with corporations, partnerships, entrepreneurs and private equity clients to solve their tax issues. He provides tax and structuring advice on corporate, partnership and cross border transactions. In addition to advising on tax issues raised in transactions, Jim reviews and assists in drafting transaction documents, including Rep and Warranty insurance policies. He has worked with a wide range of clients, and has particularly extensive experience working with government contractors and aerospace and defence companies.

     

    James is admitted to practice law in Virginia and the District of Columbia.

    Jim provided tax and structuring advice on corporate, partnership and cross-border transactions. He represented a large liquidating trust in a major bankruptcy case, and obtained an IRS private letter ruling on a crucial issue. Jim regularly reviewed and negotiated tax aspects of transaction documents including Rep and Warranty insurance policies

    As a partner-level leader in KPMG’s national Mergers and Acquisitions-Tax practice, Jim provided high-level tax consulting services relating to acquisition and disposition transactions, due diligence engagements, restructurings, financings, and other technical tax issues.
